Terms of Service

These Terms of Service ("Terms") govern your access to and use of the hunta Marketplace Fee API, website and related services (the "Service"), operated by hunta ("hunta", "we", "us"), a sole trader established in the United Kingdom, contactable at 20-22 Wenlock Road, London, N1 7GU, United Kingdom and [email protected]. By creating an API key or otherwise using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & who may use the Service

The Service has two parts, with different eligibility:

• Free web tools. The free, public calculators and guides on hunta.io — including the fee calculator, the offer calculator and the explanatory pages. Anyone aged 18 or over may use these, including consumers. They are provided free of charge for general information and return estimates only — see section 3, which applies in full to every user.
• The API. The programmatic, metered API and any paid plans. This part is offered for business and professional use only: by creating an API key you confirm that you are at least 18 years old, that you have authority to enter into these Terms (including on behalf of any organisation you represent), and that you are acting for purposes relating to your trade, business, craft or profession — that is, not as a consumer. The API is not intended for personal, household or consumer use.

In these Terms, "Free Tools" means the public web tools, "API" means the programmatic service, and "Service" means both together. Nothing here makes hunta a party to any transaction between you and a marketplace or another user.

2. The Service

hunta provides a programmatic API and related tools that return calculated marketplace fees — beginning with the eBay UK Buyer Protection Fee — based on the inputs you supply. The Service is computational and informational only.

"eBay" is a trademark of eBay Inc. We use it only to describe the marketplace whose published fees the Service calculates. The Service is not affiliated with, sponsored by, endorsed by, or operated on behalf of eBay Inc. or any other marketplace, and those marketplaces are not responsible for it.

3. Accuracy, estimates & your duty to verify

This clause is important; please read it carefully.

• Estimates only. All outputs are estimates for informational purposes only, generated from the relevant marketplace's published fee schedule as we understand it. We do not independently verify each output and we do not warrant or guarantee its accuracy, completeness, timeliness, or fitness for any purpose.
• Fees change; figures may be stale. eBay and other marketplaces may change their fees, fee structure or terms at any time and without notice. As a result our figures may become out of date, incomplete or incorrect. We update our figures when eBay's published schedule changes and version every change we make, but we do not continuously monitor eBay and this does not guarantee that an output is correct at the moment you use it.
• You must independently verify. You must independently verify every figure against the marketplace's official, current fee schedule before relying on it for any pricing, listing, accounting, tax, financial or business decision. You remain solely responsible for your own pricing and for all decisions you make using the Service, and you do not rely on the Service as your sole source of fee information.

4. No professional advice

The Service is a calculation tool. Nothing it returns is financial, tax, accounting, legal or business advice, and no advisory or fiduciary relationship is created between you and us. For advice of that kind, consult a suitably qualified professional.

5. API keys & accounts

• You are responsible for keeping your API key secret and for all activity carried out under it.
• API keys are personal to your account. You may not share, sell or transfer a key, or use multiple accounts to circumvent plan limits or the free-tier allowance.
• Notify us promptly of any suspected unauthorised use. We may rotate or revoke a key we reasonably believe to be compromised or misused.

6. Acceptable use

The following are examples of prohibited conduct; this list is not exhaustive. You agree not to:

• exceed the rate or volume limits of your plan, or attempt to evade metering or limits;
• attempt to disrupt, overload, probe or reverse-engineer the Service;
• resell, redistribute, scrape or cache the Service's outputs as a standalone dataset, or offer them as (or within) a competing fee API or service;
• share API keys or operate multiple accounts to gain additional free or paid allowance; or
• use the Service unlawfully or in breach of any third party's rights.

It is your responsibility to monitor your own usage against your plan. Breaching this section is a material breach and we may suspend or terminate access without refund.

7. Plans, fees & billing

• Paid plans are billed in advance on a recurring basis via our payment processor, Stripe. Prices are as shown on our pricing page and may include metered overage above your plan allowance.
• Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• We may change prices on reasonable prior notice. A change takes effect at your next renewal, and continued use after that constitutes acceptance. If you do not accept a change, cancel before it takes effect.
• If a payment fails, we may suspend or downgrade your access until it is resolved.
• Except where required by law, fees are non-refundable.

8. Warranties & "as is"

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory, including any implied warranties of accuracy, satisfactory quality, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or current. Section 3 governs accuracy.

9. Limitation of liability

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.

Subject to that, and to the maximum extent permitted by law:

• we are not liable, whether in contract, tort (including negligence), misrepresentation, restitution or otherwise, for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, business, goodwill, savings or data, however arising; and
• our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid to us in the three (3) months preceding the event giving rise to the claim, or (b) £100.

These limitations apply even if a remedy fails of its essential purpose. The fees for the Service reflect this allocation of risk; without these limitations the fees would be significantly higher. You are responsible for insuring against, or otherwise bearing, losses beyond this cap.

10. Indemnity

You will indemnify and hold us harmless against any claims, losses, liabilities, damages and reasonable costs (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or any third party's rights — except to the extent the claim arises directly from our own breach of these Terms. This indemnity is not subject to the cap in section 9.

11. Intellectual property

We (or our licensors) own all intellectual property rights in the Service, including its software, documentation, branding and the compilation of fee data. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms and your plan. No other rights are granted.

12. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law, and may suspend access immediately where we reasonably believe there is a security threat, abuse, or unlawful use. On termination your API keys are revoked and your data is handled in accordance with our Privacy Policy and retention schedule. You may stop using the Service at any time.

13. Changes to these Terms

We may update these Terms from time to time. The "last updated" date will change accordingly, and for material changes we will make reasonable efforts to notify account-holders by email. Continued use after a change takes effect constitutes acceptance.

14. Governing law & severability

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force.
