These Terms of Service ("Terms") govern your access to and use of the hunta Marketplace Fee API, website and related services (the "Service"), operated by hunta ("hunta", "we", "us"), a sole trader established in the United Kingdom, contactable at 20-22 Wenlock Road, London, N1 7GU, United Kingdom and [email protected]. By creating an API key or otherwise using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & who may use the Service

The Service has two parts, with different eligibility:

In these Terms, "Free Tools" means the public web tools, "API" means the programmatic service, and "Service" means both together. Nothing here makes hunta a party to any transaction between you and a marketplace or another user.

2. The Service

hunta provides a programmatic API and related tools that return calculated marketplace fees — beginning with the eBay UK Buyer Protection Fee — based on the inputs you supply. The Service is computational and informational only.

"eBay" is a trademark of eBay Inc. We use it only to describe the marketplace whose published fees the Service calculates. The Service is not affiliated with, sponsored by, endorsed by, or operated on behalf of eBay Inc. or any other marketplace, and those marketplaces are not responsible for it.

3. Accuracy, estimates & your duty to verify

This clause is important; please read it carefully.

4. No professional advice

The Service is a calculation tool. Nothing it returns is financial, tax, accounting, legal or business advice, and no advisory or fiduciary relationship is created between you and us. For advice of that kind, consult a suitably qualified professional.

It is your responsibility to monitor your own usage against your plan. Breaching this section is a material breach and we may suspend or terminate access without refund.

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory, including any implied warranties of accuracy, satisfactory quality, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or current. Section 3 governs accuracy.

9. Limitation of liability

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.

Subject to that, and to the maximum extent permitted by law:

These limitations apply even if a remedy fails of its essential purpose. The fees for the Service reflect this allocation of risk; without these limitations the fees would be significantly higher. You are responsible for insuring against, or otherwise bearing, losses beyond this cap.

10. Indemnity

You will indemnify and hold us harmless against any claims, losses, liabilities, damages and reasonable costs (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or any third party's rights — except to the extent the claim arises directly from our own breach of these Terms. This indemnity is not subject to the cap in section 9.

11. Intellectual property

We (or our licensors) own all intellectual property rights in the Service, including its software, documentation, branding and the compilation of fee data. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms and your plan. No other rights are granted.

12. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law, and may suspend access immediately where we reasonably believe there is a security threat, abuse, or unlawful use. On termination your API keys are revoked and your data is handled in accordance with our Privacy Policy and retention schedule. You may stop using the Service at any time.

13. Changes to these Terms

We may update these Terms from time to time. The "last updated" date will change accordingly, and for material changes we will make reasonable efforts to notify account-holders by email. Continued use after a change takes effect constitutes acceptance.

14. Governing law & severability

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force.
